Medserv p.l.c. to issue €20,000,000 notes

Medserv p.l.c. announced an issuance program of up to €20,000,000 Secured and Guaranteed Notes. The prospectus has been made available on the company’s website (also available here). The Prospectus is valid for a period of 12 months expiring on the 12 August 2014. Application will be made to list each Series of the Notes on the Official List of the Malta Stock Exchange (“the MSE”). The maximum aggregate principal amount of Notes that the Issuer may issue under the Programme may not exceed €20,000,000 (or its equivalent in any other currency).

The company’s obligations under the Notes (including the payment of principal and interest to Note Holders) shall be guaranteed by Medserv Operations Limited, a wholly owned subsidiary of the company (the “Guarantor”). The Guarantor is a private limited liability company registered in Malta in terms of the Companies Act. The Guarantor shall also provide a general hypothec and special hypothec over the emphyteutical rights it holds over a property situated at the Malta Freeport. The security granted by the Guarantor shall be held by HSBC Bank Malta p.l.c. on trust for the benefit of Note Holders.
